1. Eligibility. The DSC PowerSeries Neo Installation Sweepstakes (“Promotion”) is open only to authorized Digital Security Controls dealers whose territory for resale of Digital Security Controls products and services is solely within the United States of America and/or Canada (excluding the Province of Quebec) (each, a “Dealer”) and who (i) are legal residents of, or validly existing corporations or other legal entities formed and located in, the United States of America or Canada (excluding the Province of Quebec), (ii) if an individual, are at least 18 years old in the United States or the age of majority in Canada on the day they register for the Promotion and possess a valid photo identification, and (iii) verify that their participation in the Promotion is not restricted or prohibited by their Dealer’s policies, rules or practices, particularly concerning participating in trade incentive promotions and that they have obtained any required internal approvals to participate in the Promotion. Each entrant represents that, if an individual, he/she is an authorized representative of the Dealer by whom they are employed or otherwise represent, and has the authority to bind and act on the Dealer’s behalf with respect to the Promotion and these Official Rules, including, without limitation, the permission and license set forth in Section 7 and the release set forth in Section 12 of these Official Rules. Employees of the Digital Security Controls division of Tyco Safety Products Canada Ltd., Tyco International, PLC., and each of their respective related companies, as well as the immediate family (spouse, parents, siblings and children) and household members of each such employee are not eligible. The Promotion is subject to all federal, provincial, state and local laws and regulations and is void where prohibited by law.
2. Sponsor. The Digital Security Controls division of Tyco Safety Products Canada Ltd., 3301 Langstaff Road, Concord, Ontario L4K 4L2, Canada.
3. Agreement to Official Rules. Participation in the Promotion constitutes participant’s full and unconditional agreement to these Official Rules and the decisions of Sponsor, which are final and binding. Winning a prize is contingent upon fulfilling all requirements set forth herein in a timely manner. Since some jurisdictions may not allow, or may limit, the validity of some or part of the provisions of these Official Rules, it is expressly understood and agreed that any and all clauses contained in these Official Rules will be valid to the fullest extent permitted under the applicable law.
4. Entry Period. The Promotion begins on May 18, 2015 at 9:00 a.m. Eastern Time (“ET”) and ends on July 31, 2015, at 5:00 p.m. ET (the “Entry Period”). Entries received prior to or after the Entry Period will be disqualified.
5. Entry. No purchase necessary. Eligible participants may enter the Promotion by one of three (3) ways during the Entry Period. For purposes of these rules, the time of receipt will be deemed the time of submission being received, and not the time of sending. Any attempt to register via any other method is void.
1. Email a short description of participant’s PowerSeries Neo installation, along with pictures of such installation and your first and last name, Dealer company name, mailing address, email address and phone number, to PowerSeriesNeoContest@tycoint.com. The installation description should be 250 words or less and the pictures must be 2MB or less.
2. Mail a short description of participant’s PowerSeries Neo, installation along with pictures of such installation and your first and last name, Dealer company name, mailing address, email address and phone number, to Digital Security Controls, 3301 Langstaff Road, Concord, ON, Canada L4K 4L2 Attn: PowerSeries Neo Contest. The installation description should be 250 words or less and maximum of 10 pictures.
3. Mail or email participant’s first and last name, Dealer company name, mailing address, , email address, phone number to one of the addresses set out above.
For all entries: Limit: one (1) entry per person or email address. Subsequent entries will be void. Any entries attempted through the use of agencies or robotic, repetitive, automatic, programmed, or similar methods will be void. Entries become the property of Sponsor and will not be acknowledged or returned.
6. Drawings. On or about August 17, 2015, during the Entry Period, Sponsor or its agent will select the names of one (1) potential winning Dealer of all eligible entries received in the US during the Entry Period and one (1) potential winning Dealer of all eligible entries received in Canada (excluding the Province of Quebec) during the Entry Period. Odds of winning the prize depend on the number of eligible entries received for the applicable drawing. Each winning Dealer will be notified by telephone. If a potential winning Dealer cannot be contacted within five (5) days of the first attempt, Sponsor will select an alternate potential winning Dealer in his/her/its place. If a potential winning Dealer is a Canadian resident, he/she must correctly answer, without assistance of any kind, a skill-testing question in order to receive a prize.
7. Requirements of Potential Winning Dealers. Except where prohibited, a potential winning Dealer must complete and return an affidavit of eligibility and liability/publicity release (the “Affidavit/Release”) within ten (10) days of being notified. If a potential winning Dealer fails to sign and return the Affidavit/Release within the required time period, if notification or prize is returned as undeliverable, or if Sponsor determines in its sole discretion that the potential winning Dealer is ineligible, an alternate entrant will be selected in his/her/its place. Each winning Dealer will be required to provide social security or taxpayer identification number for tax reporting purposes. Unless prohibited by law, acceptance of a prize constitutes permission and license for Sponsor to use winning Dealer’s name, picture, likeness, address (city and state), and biographical information for any and all advertising and publicity purposes, worldwide, without further compensation.
8. Prizes. Each winning Dealer will receive an online banner advertisement promoting their company and DSC products in a major national publication to be chosen once the winning Dealer has been determined. Winning Dealer will also receive online banner ad or a full page color print advertising promoting their company and DSC products in a local publication of their choice, in each case subject to Sponsor’s reasonable review and approval. Each prize value is estimated at approximately USD$2,500. All prizes are subject to availability. Prizes are not transferable and cannot be assigned or redeemed for cash or substituted, except that Sponsor may substitute an award of equal or greater value if an award is not available. All federal, provincial, state and local taxes on prizes, and all other expenses not specifically mentioned herein, if any, are the sole responsibility of the winning Dealer. If income taxes exist for the prize, the taxes will be the responsibility of the winning Dealer. Any value added taxes will be paid by Sponsor. Also, if required in the jurisdiction in which a winning Dealer resides, Sponsor will be responsibility for filing all necessary tax declaration documents with the appropriate authorities. All prizes will be awarded, provided they are properly claimed.
9. General Conditions. In the event that the operation, security or administration of the Promotion is impaired in any way for any reason, Sponsor may, in its sole discretion, suspend, modify and/or cancel the Promotion. Sponsor reserves the right in its sole discretion to disqualify any participant it finds to be tampering with the operation of the Promotion or to be acting in violation of these Official Rules or in a disruptive manner. Any attempt by any person to undermine the operation of the Promotion may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that or any other provision. In the event of a dispute as to any online entry, the authorized account holder of the e-mail address used to enter will be deemed to be the entrant. The “authorized account holder” is the natural person or legal entity assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning e-mail addresses for the domain associated with the submitted address. In the event that an entry is confirmed to have been erroneously deleted, lost or destroyed, entrant’s sole remedy shall be another entry into the Promotion. If any provision of these Official Rules is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall be enforced.
10. Privacy. Entrants’ personal information will be treated in accordance with Sponsor’s privacy policy, which is available at www.dsc.com under Privacy Policy.
11. Release and Limitation of Liability. By participating in the Promotion, participant agrees, on its behalf, and on behalf or any Dealer that it is representing, to release and hold harmless Sponsor, its parent and related companies, and each such company’s respective officers, directors, employees, and agents (collectively, the “Released Parties”) from and against any claim or cause of action arising out of participation in the Promotion or receipt or use of any prize, including, but not limited to: (a) unauthorized human intervention in the Promotion; (b) technical or printing errors; (c) lost, late, postage-due, misdirected or undeliverable mail or email; (d) errors in the administration of the Promotion or the processing of entries; or (e) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from your participation in the Promotion or receipt or use of any prize. You further agree that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the Promotion, and in no event shall the Released Parties be liable for attorneys’ fees.
12. Disputes. Except where prohibited, participant agrees that any and all disputes, claims and causes of action arising out of the Promotion or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the Province of Ontario without giving effect to choice of law or conflict of law rules. All issues and questions concerning these Official Rules, participant’s rights and obligations, or Sponsor’s rights and obligations shall be governed by the laws of the Province of Ontario, without giving effect to any choice of law or conflict of law rules
13. Disclaimer. Sponsor is not responsible for lost, interrupted or unavailable network, server or other connections, miscommunications, failed or delayed mail, telephone, cable or other media transmissions, computer hardware, software or other technical failures, garbled or jumbled transmissions, internet/network/ISP or Wed site access/availability, or other errors of any kind whatsoever, whether human or technical in nature. Sponsor is responsible for making award determinations and shipping awards. The decision of Sponsor is final and binding on all matters relating to the Promotion. Promotion void where prohibited by law or employer policies. By participating in the Promotion, entrants represent that they have read, or have had read to them, and understand these Official Rules, including the disclaimers, and agree to be bound by them.
14. Winning Dealers List. For the results, send a self-addressed, stamped envelope to Digital Security Controls, Attention PowerSeries Neo Installation Sweepstakes, 3301 Langstaff Road, Concord, Ontario L4K 4L2. All requests must be received by August 31, 2015.
